These Terms & Conditions ("Terms") govern your access to and use of www.velorithm.com (the "Site") and any products, software, platforms, applications, consulting, implementation, managed services, training, BPO, digital marketing, and other technology services provided by Velorithm Private Limited ("Velorithm", "we", "us", "our") (collectively, the "Services").
Binding agreement: By accessing the Site, creating an account, submitting information, requesting a quotation, signing an Order/Statement of Work ("SOW"), or using the Services, you agree to these Terms. If you do not agree, do not use the Site or Services.
Order of precedence & rejection of customer terms: If you sign an SOW, the SOW controls only for the specific items it addresses. All other terms (including any purchase order terms) are rejected and have no effect unless expressly accepted by Velorithm in writing.

2) Definitions
- Customer means any business/entity or authorized representative using or purchasing Services.
- User means any person accessing the Site, including job applicants.
- Services include (as applicable) software design/development, licensing, platforms/applications, consulting, system integration, implementation, cloud services (IaaS, PaaS, SaaS, DevOps), communications/network services, data processing, database management, turnkey projects, training, digital marketing, BPO, and information management services.
- Order / Statement of Work (SOW) means a quotation, order form, proposal, SOW, work order, or similar written document describing scope, pricing, timelines, deliverables, and commercial terms.
- Customer Content means any data, files, documents, resumes, business verification documents, text, images, or other materials submitted or generated via the Services.
- Third-Party Services means services integrated with or used by Velorithm (e.g., payment processors, hosting/cloud providers).
3) Eligibility, authority, and account security
You represent that you are at least 18 years old and (if acting on behalf of a business/entity) you have authority to bind that entity to these Terms.
You agree to provide accurate, complete information and keep it updated. You are responsible for maintaining confidentiality of credentials and all activity under your account.
4) Scope of Services and engagement model
General information on the Site may describe capabilities, but actual scope, deliverables, and timelines are defined in an applicable Order/SOW.
Pricing is based on the services you request, scope, complexity, and timelines. Estimates are non-binding unless stated otherwise in an Order/SOW.
Any change to scope, timelines, or pricing must be agreed in writing (e.g., change request, updated SOW).
Velorithm may modify, suspend, or discontinue any part of the Site or Services at any time, including features and functionality, without liability (except as expressly stated in an applicable SOW).
5) Accounts and communications (including marketing)
You may need to provide business information (including email and/or phone number) to access, inquire about, or purchase Services.
Service communications: We may contact you about operational matters, including responding to inquiries, delivering services, support, security notices, verification, and billing.
Marketing communications: If you provide your email address or phone number, you agree that we may send you occasional promotional messages about Velorithm products, features, and offers where permitted by law. You can opt out at any time by using an unsubscribe mechanism (if provided) or by contacting contact@velorithm. Opting out will not affect transactional/service communications.
6) Support and service availability
Support is provided on business days from 10:00 AM to 6:00 PM (India time), excluding public holidays, unless an Order/SOW states otherwise.
We may perform maintenance, updates, or changes to the Services. Unless a separate SLA is signed, we do not guarantee uninterrupted availability.
7) Payments, taxes, invoicing, disputes, and collections
Fees are as described in your Order/SOW or invoice. Unless stated otherwise, invoices are due within 15 days of invoice date.
Payments may be processed via Third-Party Services (e.g., payment gateways). Their terms may apply.
Fees are exclusive of applicable taxes (including GST/VAT/sales tax/withholding), unless stated otherwise. You are responsible for taxes applicable to your purchase except taxes on our net income.
Invoice disputes: You must notify Velorithm of any invoice dispute in writing within 7 days of invoice date; otherwise, the invoice is deemed accepted. You must pay undisputed amounts when due.
No set-off: You may not withhold, set-off, or net payments against alleged claims.
For overdue amounts, we may charge late fees/interest as permitted by law and/or suspend Services after providing reasonable notice (or immediately where permitted).
8) Refunds
Unless an Order/SOW explicitly provides a refund policy, all fees are non-refundable, including partially used periods, setup fees, or professional services already performed.
9) Cancellation / termination for convenience (30/60-day tiers; early termination fee)
For time-and-materials, consulting, implementation, or BPO/staff-augmentation Services, Customer may terminate for convenience only with prior written notice as follows: (a) 30 days for engagements involving dedicated resource allocation or committed monthly spend below INR 5,00,000; and (b) 60 days for engagements involving multi-month deployments, dedicated staffing hires, reserved capacity, or committed monthly spend of INR 5,00,000 or more (or as otherwise stated in the SOW).
Customer remains liable for: (i) all Services performed up to the effective termination date; (ii) all committed or non-cancellable third-party costs; and (iii) an early termination/resource commitment charge equal to one (1) month of fees (based on the most recent monthly fees or the committed monthly spend), plus reasonable transition/knowledge-transfer fees, if applicable.
Where an SOW specifies a minimum term or minimum committed spend, termination for convenience does not relieve Customer of those commitments.
10) Deliverables, testing, and deemed acceptance
Unless an Order/SOW states otherwise, any deliverable is deemed accepted upon the earlier of: (i) Customer's use in production, (ii) written acceptance, or (iii) 5 business days after delivery, unless Customer provides a written rejection with reasonably specific details of material non-conformity to agreed specifications.
Minor defects that do not materially impair use shall not delay acceptance and may be handled through support/maintenance if applicable.
11) Acceptable Use Policy
You agree not to misuse the Site/Services. We may remove Content, restrict access, or suspend/terminate accounts for violations.
- No unlawful, fraudulent, harmful, or abusive activity.
- No malware, exploitation, unauthorized access, or security testing without written permission.
- No reverse engineering, scraping, copying, or interfering with the Services (except where prohibited by law).
- No infringement of IP, privacy, or other rights; do not upload Content you do not have the right to share.
- No spam, phishing, or unsolicited commercial communications.
- No interference with other users' use of the Services.
12) Intellectual Property and licensing
Velorithm retains all IP rights in the Services, software, platforms, and materials not explicitly transferred to Customer under an Order/SOW.
Customer retains IP rights in Customer Content. Customer grants Velorithm a license to use Customer Content solely to provide Services and as otherwise agreed.
Any custom deliverables developed specifically for Customer under an Order/SOW may be transferred to Customer as specified in that Order/SOW.
13) Confidentiality
Both parties agree to keep confidential information (including business, technical, and customer data) confidential and use it only for the purposes of the engagement.
Confidentiality obligations survive termination of the engagement for the period specified in the Order/SOW (or 5 years if not specified).
14) Data protection and privacy
Our Privacy Policy (available at www.velorithm.com/privacy) governs how we collect, use, and protect personal information. By using the Services, you consent to such processing.
15) Warranty disclaimer
Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, except as expressly stated in an Order/SOW.
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
16) Limitation of liability
To the maximum extent permitted by law, Velorithm's total liability for any claims arising from or relating to the Services shall not exceed the fees paid by Customer in the 12 months preceding the claim.
Velorithm shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
17) Indemnification
Customer agrees to indemnify and hold Velorithm harmless from any claims arising from Customer's breach of these Terms, misuse of Services, or Customer Content.
18) Force majeure
We are not liable for delays or failures to perform due to events beyond our reasonable control, including natural disasters, war, terrorism, strikes, or government actions.
19) Dispute resolution and governing law
These Terms are governed by the laws of India, without regard to conflict of law principles.
Disputes shall be resolved through good faith negotiations. If unresolved, disputes may be resolved through binding arbitration in accordance with Indian Arbitration and Conciliation Act, 1996.
20) General provisions
- Entire agreement: These Terms (including any Order/SOW) constitute the entire agreement between us.
- Severability: If any provision is invalid, the remaining provisions remain in effect.
- No waiver: Failure to enforce any provision does not waive our right to enforce it later.
- Assignment: You may not assign rights without our written consent; we may assign rights without restriction.
- Notices: Notices may be sent via email to the address you provide or posted on the Site.
21) Changes to Terms
We may update these Terms from time to time. We will post changes on the Site and update the "Last updated" date. Continued use after changes constitutes acceptance of the updated Terms.
